These Terms and Conditions ("Terms") govern your access to and use of the AutismSprout platform ("the Service") provided to clinicians, educators, caregivers, and authorized organizations ("users," "you"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility and Authority
You may use the Service only if you are authorized to do so by a licensed clinician, educational institution, or organization, and you have the legal authority to enter student and client data. If you are entering protected health or student information, you represent that you have obtained all necessary consents from parents, guardians, or authorized representatives, and that your use complies with applicable laws, including HIPAA, FERPA, and state privacy regulations.
2. Accounts
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You must provide accurate, current information at registration and keep it updated.
- You are responsible for ensuring that only authorized individuals access your account and for inviting users with the appropriate role and least-privilege permissions.
- We may suspend or terminate accounts that violate these Terms or that present a security or compliance risk.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose.
- Enter data you do not have the authority or consent to process.
- Upload viruses, malware, or code designed to disrupt the Service.
- Attempt to gain unauthorized access to other users' data, systems, or networks.
- Misuse AI-generated content by deploying clinical recommendations without appropriate professional review.
- Reverse engineer, decompile, or distribute any part of the Service without authorization.
- Share or transfer account access to unauthorized third parties.
4. AI-Generated Content
The Service includes AI-assisted features that may generate program drafts, summaries, reports, and suggestions based on the data you provide. All AI-generated content is informational only and is not a substitute for professional clinical judgment. You are solely responsible for reviewing, validating, and exercising professional judgment over any AI-generated material before acting on it. AutismSprout is not liable for clinical decisions made based on AI-generated content.
5. Professional Responsibility
The Service is a tool to support clinical practice and is not a licensed provider of medical, behavioral, or educational services. You remain solely responsible for all clinical, educational, and professional decisions, including the treatment, assessment, and documentation of students and clients. You must supervise and verify all data entered and outputs produced through the Service.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect information. By using the Service you consent to the data practices described in the Privacy Policy. You are responsible for entering only data you are authorized to store and for configuring access permissions appropriately.
7. Intellectual Property
The Service, including its software, design, text, and branding, is owned by AutismSprout or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription or authorization. Data you enter into the Service remains owned by you or your organization, subject to the rights you grant us to process and display it within the Service.
8. Fees and Subscription
Access to the Service may be subject to fees, subscription plans, or organizational licensing. Billing terms, if applicable, will be communicated separately. Fees are generally non-refundable except as required by law or as stated in a specific agreement. We may change fees with reasonable notice.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate or clinically appropriate. You use the Service at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, AutismSprout and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or clinical outcomes, arising out of or related to the use of, or inability to use, the Service, even if advised of the possibility of such damages. Our total liability for any claim arising from the Service is limited to the fees you paid for the Service in the twelve (12) months preceding the claim, or, if no fees were paid, to one hundred U.S. dollars ($100).
11. Indemnification
You agree to indemnify and hold harmless AutismSprout, its affiliates, and licensors from any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your unauthorized data entry, or your reliance on AI-generated or Service-provided content.
12. Termination
You may stop using the Service and request account closure at any time. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or pose a security or compliance risk. Upon termination, your right to use the Service ends, and we may delete or de-identify your data in accordance with our retention schedule and legal obligations. Terms that by their nature should survive termination (such as disclaimers, limitations of liability, and indemnification) will remain in effect.
13. Governing Law and Disputes
These Terms are governed by the laws of the United States and the state in which the Service is operated, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of competent jurisdiction located in that state, except where prohibited by applicable consumer-protection law.
14. Changes to These Terms
We may revise these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, notifying users through the Service. Continued use after changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you should discontinue use of the Service.
